1.Acceptance of Terms
AutoFixConnect is a service product owned and operated by Stewardplus Inc., a corporation incorporated under the laws of the Province of Manitoba, Canada under the Corporations Act business number 750567760.
("AutoFixConnect," "Stewardplus," "Company," "we," "us," or "our"), with its principal place of business in Manitoba, Canada. Except where the context requires otherwise, references in these Terms to "AutoFixConnect," "we," "us," "our," or "Company" mean Stewardplus Inc., acting through and in connection with its AutoFixConnect brand and platform.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Stewardplus Inc., governing your access to and use of the AutoFixConnect website, mobile application, and related global software-as-a-service marketplace platform (collectively, the "Service").
If you are entering into these Terms on behalf of a company, shop, dealership, moving company, towing company, or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
Stewardplus Inc. may operate other service products, websites, or applications under other brands. These Terms govern your use of AutoFixConnect only; your use of any other Stewardplus product is governed by that product's own terms, unless expressly stated otherwise.
The Service is operated from Manitoba, Canada and made available globally. Section 29 (Region-Specific Terms) contains additional terms that apply to you depending on where you are located, and prevails over the general provisions of these Terms to the extent of any conflict, but only with respect to users in the relevant region.
2.Description of the Service
AutoFixConnect operates a global online marketplace and software platform that connects vehicle owners and other customers ("Customers") with independent, third-party businesses and individuals who offer automotive and related services ("Service Providers"), including, without limitation:
- Mechanical repair, inspection, and maintenance services;
- Auto body, collision repair, and paint services;
- Vehicle detailing and cleaning services;
- Sale or supply of new, used, aftermarket, or OEM auto parts and accessories by parts dealers and sellers;
- Towing, roadside assistance, and vehicle recovery or transport services; and
- Moving, relocation, freight, and related transport services offered by movers and moving companies.
(the mechanical repair, auto body, detailing, parts, and towing categories, collectively, "Automotive Services," and the moving/relocation category, "Moving Services"; Automotive Services and Moving Services together, the "Marketplace Services"). Not all Marketplace Services are available in all regions.
AutoFixConnect is a technology platform only, and acts solely as an intermediary that facilitates discovery, scheduling, communication, and (where enabled) payment between Customers and Service Providers. We do not perform, and are not, any of the following: a mechanic, auto body technician, detailer, parts dealer, tow operator, freight carrier, mover, or moving broker. We are not a party to, and assume no responsibility for, any agreement, work order, bill of lading, purchase, or transaction between a Customer and a Service Provider.
3.Eligibility and Account Registration
You must have reached the age of majority in your province, state, or country of residence, and in no event be younger than 16 years of age, to use the Service. You agree to provide accurate, current, and complete information when creating an account and to promptly update such information.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us immediately of any unauthorized use of your account.
If you register as a Service Provider (including as a repair shop, auto body shop, detailer, parts dealer, tow operator, or moving company), you additionally represent and warrant that you hold all licenses, permits, registrations, bonding, and insurance required by the jurisdiction(s) in which you operate, including, where applicable, motor carrier or moving-broker registration, tow-operator or vehicle-storage-facility licensing, dealer or vendor licenses, and trade certifications, and that you will maintain these in good standing throughout your use of the Service. See also Section 20 (Insurance).
4.User Conduct and Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
- Upload or transmit false, misleading, defamatory, or fraudulent information, including inaccurate vehicle, diagnostic, or repair information;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or connected networks;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law;
- Use any automated system, including bots, scrapers, or spiders, to access the Service without our prior written consent;
- Harass, abuse, or harm another person or entity through the Service, including Service Providers and other users;
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
We reserve the right, but not the obligation, to monitor use of the Service and to remove content or suspend or terminate accounts that we believe, in our sole discretion, violate these Terms.
5.Third-Party Service Providers Generally
Every repair shop, mechanic, auto body technician, detailer, parts dealer or seller, tow operator, mover, moving company, and any other Service Provider you engage through the Service is an independent third party and is not our employee, agent, joint venturer, franchisee, or representative. AutoFixConnect does not select, endorse, supervise, control, or guarantee the work, licensing, bonding, insurance, conduct, availability, pricing, or qualifications of any Service Provider.
You are solely responsible for evaluating a Service Provider's qualifications, licensing, bonding, insurance, and suitability before engaging their services. We strongly encourage you to independently verify credentials, request proof of insurance and licensing, and obtain your own inspection, estimate, or second opinion before authorizing any significant repair, purchase, tow, or move.
6.Vehicle Data and Diagnostic Information
The Service may display diagnostic codes, maintenance recommendations, or other vehicle-related information sourced from your vehicle's onboard systems, third-party data providers, or Service Providers. Such information is provided for general informational and convenience purposes only and is not a substitute for professional inspection, diagnosis, or manufacturer guidance.
7.Auto Parts Sales
Where the Service enables you to purchase parts, accessories, or related products from a parts dealer or seller, AutoFixConnect is not the seller of record (unless expressly stated otherwise for a specific listing) and does not manufacture, inspect, certify, or guarantee the fitness, compatibility, quality, safety, or authenticity of any part. Any manufacturer's or seller's warranty, return policy, or right of refund applies as stated by that party, and not by AutoFixConnect.
8.Towing and Roadside Assistance Services
Where the Service is used to request towing, roadside assistance, or vehicle recovery, you acknowledge that the tow operator or roadside provider, and not AutoFixConnect, is responsible for the safe hookup, transport, storage, and release of your vehicle, and for compliance with any applicable consent-to-tow, notice, storage-lien, and impound requirements under local law. You are solely responsible for confirming a tow operator's licensing and insurance, for any storage, mileage, or after-hours release fees charged directly by the operator, and for promptly retrieving your vehicle to avoid accrual of storage charges or lien proceedings against it.
9.Moving and Relocation Services
Where the Service is used to arrange Moving Services, you acknowledge that movers and moving companies handle, transport, and may temporarily store your personal property, and that loss, damage, delay, or breakage can occur. You are solely responsible for: (a) verifying that any mover or moving company holds required licensing, permits, and cargo/liability insurance for the applicable jurisdiction(s) and, for cross-border or interprovincial/interstate moves, any additional carrier or customs authorization; (b) reviewing and agreeing to that Service Provider's bill of lading, tariff, valuation coverage, and terms of service directly with them; and (c) obtaining any additional insurance you consider appropriate for high-value, fragile, or irreplaceable items.
10.Non-Circumvention; Off-Platform Transactions
The Service is intended to facilitate the initial connection, and, where enabled, ongoing scheduling and payment, between Customers and Service Providers. Except as otherwise permitted by the Service's functionality, you agree not to use information obtained through the Service to circumvent the Service in order to solicit, arrange, or complete a transaction directly with a Customer or Service Provider outside the Service for the purpose of avoiding applicable fees, provided that nothing in this Section restricts your ability to engage a Service Provider you already knew or had an existing relationship with independent of the Service.
We reserve the right to suspend or terminate accounts that we reasonably believe are being used to systematically circumvent the Service in violation of this Section.
11.User Content, Reviews, and Feedback
11.1User Content
"User Content" means any information, data, images, reviews, ratings, or other content you submit to the Service. You retain ownership of your User Content, but you grant AutoFixConnect a worldwide, royalty-free, sublicensable license to host, store, reproduce, modify, publish, and display such content solely as necessary to operate, promote, and improve the Service. You represent that you have all rights necessary to grant this license and that your User Content does not infringe any third party's rights.
11.2Reviews and Ratings
Reviews and ratings must reflect your genuine experience. We may remove or decline publishing content that we reasonably believe is fraudulent, defamatory, unlawful, or in violation of these Terms, but we are not obligated to monitor, verify, or pre-screen User Content, and we do not endorse any opinion expressed in it.
11.3Feedback
If you submit ideas, suggestions, or feedback about the Service, you grant us an unrestricted, perpetual, royalty-free license to use that feedback for any purpose without obligation or compensation to you.
12.Fees and Payment
Certain features of the Service may require payment of fees, as described at the time of purchase or in a separate order form or pricing page. Unless otherwise indicated, fees are stated in Canadian dollars (CAD); where the Service displays pricing in another currency for your convenience, the actual amount charged may vary due to currency conversion and foreign transaction fees imposed by your bank or payment provider, which are your responsibility. Fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
You authorize us (or our third-party payment processor) to charge your designated payment method for all applicable fees. You are responsible for all taxes associated with your use of the Service, other than taxes based on our net income. We reserve the right to change our fees upon reasonable prior notice.
Payments made to Service Providers through any payment-facilitation feature of the Service are processed by third-party payment processors. We are not a bank, money transmitter, or party to the underlying transaction, and we disclaim all liability for errors, delays, chargebacks, or disputes relating to such payments.
13.Intellectual Property
The Service, including all software, text, graphics, logos, trademarks, and other content (excluding User Content), is owned by Stewardplus Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. "AutoFixConnect" and associated logos are trademarks (registered or common-law) of Stewardplus Inc. Nothing in these Terms grants you any right to use Stewardplus Inc.'s name, or the name, logo, or trademarks of any other Stewardplus Inc. product or service, without our prior written consent. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use.
14.Beta and Experimental Features
From time to time, we may make available features, tools, or services labeled as "beta," "early access," "preview," or similar ("Beta Features"). Beta Features are provided for evaluation purposes only, may be incomplete, may not function as intended, and may be modified or discontinued at any time without notice or liability.
15.Service Availability; No Service-Level Commitment
We will use commercially reasonable efforts to keep the Service available, but the Service may be unavailable from time to time due to maintenance, updates, third-party infrastructure failures, or circumstances beyond our control.
16.Disclaimer of Warranties
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you in whole or in part.
17.Limitation of Liability
The limitations in this Section 17 apply regardless of the failure of essential purpose of any limited remedy. Nothing in these Terms is intended to, and shall not, limit or exclude liability that cannot be limited or excluded as a matter of applicable law, including liability for death or personal injury caused by proven gross negligence or willful misconduct, or liability arising from fraud, where and to the extent such limitation is prohibited by law.
18.Indemnification
You agree to defend, indemnify, and hold harmless AutoFixConnect and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your interaction, transaction, or dispute with any Service Provider or other user; or (d) your violation of any applicable law or the rights of any third party.
19.Assumption of Risk
You acknowledge that vehicle repair, towing, parts installation, and moving activities carry inherent risks, including risks to personal safety and property. You voluntarily assume all such risks associated with engaging Service Providers found through the Service, to the fullest extent permitted by applicable law.
20.Insurance
Service Providers registering on the Service to offer Automotive Services or Moving Services must maintain, at their own expense, insurance appropriate to their trade and jurisdiction (which may include general liability, garage-keepers, cargo, motor carrier, or bonding coverage, as applicable) and must provide proof of such coverage to us upon request. AutoFixConnect does not itself provide, and is not a party to, any insurance policy covering a customer’s vehicle, goods, or property, and maintaining your own insurance (including verifying whether your personal auto, homeowner's, or renter's policy covers property in transit or storage) remains your responsibility as a Customer.
21.Term, Suspension, and Termination
These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice and with or without cause, including for any actual or suspected violation of these Terms.
You may terminate your account at any time by following the instructions in the Service or by contacting us. Sections of these Terms that by their nature should survive termination (including Sections 5–11, 13, 16–20, 26, and 27) will survive.
22.Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time without liability to you. We may also revise these Terms from time to time. If we make material changes, we will provide notice as required by applicable law (for example, by posting an updated version with a new "Last Updated" date or by other reasonable means). Your continued use of the Service after such changes take effect constitutes your acceptance of the revised Terms.
23.Copyright and Intellectual Property Infringement Notices
If you believe that content available through the Service infringes your copyright or other intellectual property rights, please send a written notice to ipclaims@autofixconnect.com that includes: (a) a description of the copyrighted work or other right claimed to be infringed; (b) a description and location (e.g., URL) of the allegedly infringing material; (c) your contact information; (d) a statement that you have a good-faith belief the use is unauthorized; and (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the rights owner. Depending on your jurisdiction, additional or different formal requirements may apply (for example, under the U.S. Digital Millennium Copyright Act for U.S. users); we will respond to well-founded notices by removing or disabling access to the identified material and, where appropriate, taking action against repeat infringers.
24.Electronic Communications and Signatures
By using the Service, you consent to receive communications from us electronically, including notices, disclosures, agreements, and records, and you agree that any electronic signature, click-through acceptance, or electronic record satisfies any legal requirement that such communication be in writing, to the extent permitted by applicable electronic commerce legislation in your jurisdiction (including, in Canada, applicable provincial electronic commerce statutes and, in the U.S., the E-SIGN Act and applicable state equivalents).
25.Anti-Bribery, Anti-Corruption, and Sanctions Compliance
You agree not to use the Service to offer, promise, give, or accept any bribe, kickback, or other improper payment or benefit in connection with any transaction facilitated by the Service, and to comply with applicable anti-corruption laws, including Canada's Corruption of Foreign Public Officials Act and equivalent laws in your jurisdiction.
The Service is administered from Manitoba, Canada and is made available to users in multiple countries. We make no representation that the Service, or any Marketplace Service arranged through it, is appropriate, legal, or available in every location. If you access the Service from outside Canada, you do so on your own initiative and are responsible for compliance with local law, including local licensing, consumer-protection, tax, and import/export requirements applicable to any parts, goods, or property involved in a transaction. You represent that you are not located in, and will not use the Service in or on behalf of, any country or region subject to comprehensive Canadian or United Nations trade sanctions, and that you are not a person designated on any applicable Canadian, U.S., U.N., or other sanctions or restricted-party list.
26.Dispute Resolution; Binding Arbitration; Class Action Waiver
Except for claims that qualify for small-claims court, claims for injunctive relief to protect intellectual property rights, or claims where mandatory pre-dispute arbitration or a class-action waiver is unenforceable under applicable law (see below), you and AutoFixConnect agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be submitted to good-faith informal negotiation for at least 30 days and, if unresolved, shall be finally resolved by binding arbitration administered by the ADR Institute of Canada, Inc. (ADRIC) under its applicable rules then in effect, seated in Brandon, Manitoba, Canada, and conducted in the English language, rather than in court.
This arbitration and class-action-waiver provision does not apply, and does not limit any right you may have, to the extent it would be unenforceable or restricted under mandatory consumer-protection law in your jurisdiction — for example, consumer arbitration clauses are restricted for Quebec consumers under Quebec's Consumer Protection Act, and mandatory pre-dispute arbitration of consumer disputes may be limited or unenforceable in the European Union, the United Kingdom, Australia, and certain other jurisdictions. In any such case, only the affected claim (and not the remainder of this Section) will proceed instead in the courts identified in Section 27 or in the courts of your jurisdiction of residence where mandatory law so requires. You may opt out of this arbitration provision within 30 days of first accepting these Terms by sending written notice to the address in Section 28.7.
27.Governing Law and Venue
These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by the laws of the Province of Manitoba, Canada, without regard to conflict-of-laws principles, except where mandatory local consumer-protection law requires application of the law of your place of residence. For any dispute not subject to arbitration under Section 26, you and AutoFixConnect consent to the exclusive jurisdiction and venue of the courts located in Brandon, Manitoba, subject to Section 27.1.
27.1Mandatory Local Rights Preserved
Nothing in this Section limits any right you may have to bring proceedings in, or that requires disputes to be resolved in, your country, province, or state of residence under mandatory consumer-protection or data-protection law that cannot be excluded by agreement, including as described in Section 29 (Region-Specific Terms).
28.General Provisions
28.1Entire Agreement
These Terms, together with the Privacy Policy and any order forms or supplemental terms referenced herein, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
28.2Severability
If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
28.3No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
28.4Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
28.5Force Majeure
AutoFixConnect will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, pandemic, internet or utility failures, or governmental action.
28.6Independent Contractors
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you, AutoFixConnect, and any Service Provider.
28.7Notices
Notices to Stewardplus Inc. under these Terms must be sent to legal@autofixconnect.com or to Stewardplus Inc., 8-3725 Victoria Avenue, Brandon, Manitoba, R7B 3C3, Canada (Attn: Legal Department — AutoFixConnect). We may provide notices to you via the email address or contact information associated with your account.
28.8Language
These Terms are drafted in English; any translation is provided for convenience only, and the English version governs in the event of any conflict, except as otherwise required by Section 29.2 (Quebec).
28.9Corporate Affiliation
AutoFixConnect is one of several service products offered by Stewardplus Inc. References in these Terms to "affiliates" include other entities that control, are controlled by, or are under common control with Stewardplus Inc. Your contractual relationship under these Terms is with Stewardplus Inc. as the registered legal entity; "AutoFixConnect" identifies the specific product and brand to which these Terms apply.
29.Region-Specific Terms
The following additional terms apply to you if you are located in the corresponding region and, to the extent of any direct conflict, take precedence over the general provisions above solely with respect to users in that region. These provisions do not expand our liability beyond what is stated elsewhere in these Terms except where required by mandatory law.
29.1Canada (Outside Quebec)
Nothing in these Terms limits any non-waivable right or remedy you have under applicable federal or provincial consumer-protection legislation.
29.2Quebec, Canada
If you are a consumer resident in Quebec: (a) Section 26's arbitration and class-action-waiver provisions do not apply to you to the extent prohibited by the Consumer Protection Act (Quebec); (b) any limitation of warranty in Section 16 applies only to the extent consistent with the legal warranties of quality and fitness for purpose under the Civil Code of Québec and the Consumer Protection Act; and (c) you may bring proceedings in the courts of the judicial district of your domicile in Quebec. The parties confirm their express wish that these Terms and all related documents be drafted in English; les parties conviennent que ces conditions et tous les documents connexes soient rédigés en anglais.
29.3United States
If you are located in California, you may be entitled to the consumer-rights notice under Civil Code § 1789.3: complaints may be directed to the Complaint Assistance Unit of the Division of Consumer Services, California Department of Consumer Affairs. Nothing in these Terms limits rights that cannot be waived under applicable U.S. federal or state law.
29.4European Union / European Economic Area and United Kingdom
If you are a consumer located in the EU/EEA or the United Kingdom: (a) nothing in these Terms limits any statutory right you have as a consumer under the law of your habitual residence, including any right to bring proceedings in, or benefit from mandatory provisions of, that jurisdiction; (b) mandatory pre-dispute arbitration under Section 26 does not apply to the extent it would restrict your access to competent courts; and (c) you may also have the option to use the EU Online Dispute Resolution platform or an equivalent UK service, where applicable to online purchases.
29.5Australia
If you are located in Australia, nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified. Our liability for a failure to comply with a non-excludable consumer guarantee is limited, to the extent permitted by law, to resupply of the Service or the cost of resupply.
29.6Other Jurisdictions
If you are located in a jurisdiction not listed above, the general provisions of these Terms apply, except to the extent a mandatory law of your jurisdiction that cannot be excluded by agreement provides otherwise, in which case that mandatory law governs solely to the extent of the conflict.
